Terms & Conditions
This Terms of Use Agreement (referred to as the “Agreement”) establishes a legally binding contract between DESIGNLIT.co.uk (a subsidiary of OSSU LTD - VAT Number: 474 2657 68), and the client, whether as an individual or on behalf of an entity (referred to as the “Client”), concerning the access and usage of DesignLit’s website: www.designlit.co.uk (referred to as the “Website”) as well as any other associated media forms, channels, mobile websites, or mobile applications linked to or connected with it. If the Client fails to agree to and comply with all the terms, conditions, and obligations stated in this Agreement, their use of the Website is expressly prohibited, and they are instructed to cease use immediately. Consequently, the relationship between the Client and DesignLit will terminate and have no further legal effect between the parties, except for the Client’s ongoing obligation to compensate DesignLit for any services rendered.
Intellectual Property Rights
Unless explicitly stated otherwise, DesignLit is the rightful owner of the Website, which includes all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in any format (collectively or individually referred to as the “Content”). Additionally, the trademarks, service marks, and logos displayed on the Website (“Marks”) are under the ownership and control of DesignLit. These assets are safeguarded by copyright, trademark laws, and any other relevant intellectual property laws or regulations of the United States, foreign jurisdictions, and international conventions.
The Content and Marks are provided on an “As-Is” basis, solely for informational and personal use purposes. Except as expressly permitted in this Agreement, no portion of the Website or its Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior written consent of DesignLit. DesignLit reserves all rights regarding the Website, Content, and Marks.
Ownership of Materials
Despite DesignLit’s ownership of Submissions, as explained in Paragraph 4 (“Client Feedback”), all final formatted designs created on behalf of the Client (“Projects”) belong exclusively to the Client. As such, the Client shall hold the sole copyright ownership of all completed Projects in their final form. In the unlikely event that any legal provision would grant DesignLit ownership, either wholly or partially, of a Project instead of the Client, DesignLit hereby irrevocably and indefinitely assigns its entire interest in the Project to the Client without any limitations.
The Client represents and warrants that any materials provided to DesignLit as examples or for incorporation into a project during the design process are owned by the Client and do not infringe upon or misappropriate the rights of any third party, including but not limited to intellectual property rights and rights of publicity.
DesignLit retains the right to publicly share the Client’s design work, such as on social media or the website, unless otherwise agreed upon as stated in section 18 of this agreement.
Third-Party Fonts
If a Project includes fonts that are not owned by DesignLit and necessitate a commercial license for the legal reproduction, distribution, or public display of the Project (“Third-Party Font(s)”), DesignLit will notify the Client where possible in writing about the incorporation of one or more Third-Party Fonts into the Project. It is The Client's responsibility to acquire one or more licenses for the Third-Party Fonts directly from the respective rights-holder(s) to ensure compliance with legal requirements for reproduction, distribution, or public display of the Project. The notice will contain sufficient information for the Client to identify the necessary licenses and provide contact details for purchasing them.
The Client assumes full responsibility for any consequences arising from their failure to obtain the required licenses for any Third-Party Fonts incorporated into a Project.
User Representations
By accessing and using the Website, the Client affirms and guarantees that:
They possess the legal capacity to do so and agree to abide by these Terms of Use.
They are not a minor in their jurisdiction of residence.
They will not utilize automated or non-human methods to access the Website.
They will not employ the Website for any unlawful or unauthorized purposes.
Their utilization of the Website will not contravene any applicable laws or regulations.
Prohibited Activities
The Client is strictly prohibited from accessing or using the Website for any purpose other than its intended use. The Website may only be utilised for activities directly related to the services performed by DesignLit on behalf of the Client. Additionally, the Client agrees to refrain from the following actions:
Engaging in unauthorized use of the Website.
Extracting data or content with the intention of creating or compiling a database or directory.
Circumventing, disabling, or otherwise interfering with security features of the Website.
Participating in unauthorized framing or linking of the Website.
Deceiving, defrauding, or misleading DesignLit or other users.
Interfering with, disrupting, or imposing an undue burden on the Website or DesignLit’s networks or servers.
Utilizing the Website in an attempt to compete with DesignLit.
Decompiling, reverse engineering, deciphering, or disassembling any software component of the Website.
Bypassing any measures on the Website designed to prevent or restrict access.
Harassing, intimidating, or threatening DesignLit’s employees, independent contractors, or agents providing services through the Website.
Removing the copyright or other rights notice from any Content.
Copying or adapting the Website’s software.
Uploading or transmitting, or attempting to do so, viruses, Trojan horses, or other disruptive materials that interfere with the use of the Website or modify its features, functions, operations, or maintenance.
Uploading or transmitting, or attempting to do so, any material that acts as a passive or active information collection or transmission mechanism.
Disparaging, tarnishing, or causing harm to DesignLit’s reputation.
Using the Website in a manner that violates applicable laws, statutes, or regulations.
Client Feedback
The Client acknowledges and agrees that any questions, comments, suggestions, or other feedback or submission (“Submission”) provided to DesignLit shall become the exclusive property of DesignLit. DesignLit is not obligated to maintain the confidentiality of any Submission or take measures to ensure its confidentiality. DesignLit shall have full and exclusive ownership of all rights pertaining to the Submission, except to the extent that rights are specifically granted to the Client under Paragraph 2 (“Ownership of Materials”). DesignLit retains the unrestricted discretion to utilize and distribute the Submission for any lawful purpose without seeking permission, providing acknowledgment, or offering compensation to the Client.
By making a Submission, the Client confirms that they have the right to express and present the Submission. Furthermore, the Client waives any claims or recourse against DesignLit regarding its use of the Submission in accordance with the terms stated in this agreement and at DesignLit’s sole discretion in the future.
Management and Oversite
DesignLit retains the right to monitor the Website for any breaches of these Terms of Use, as well as any violations of applicable laws, statutes, or regulations. In response to such violations, DesignLit reserves the right to initiate appropriate legal action. Furthermore, DesignLit reserves the authority to restrict, deny, or disable the Client’s access to the Website. These decisions will be made solely at the discretion of DesignLit, without any obligation to provide notice or incur liability towards the Client. All determinations regarding the management of the Website are under the sole discretion of DesignLit and aim to safeguard DesignLit’s rights and property.
Privacy Policy
By utilizing the Website, the Client agrees to comply with and be bound by the Privacy Policy, along with its specific terms that are incorporated into and form part of these Terms of Use. The Website is hosted in the United States of America. Accessing the Website from the EU, Asia, or any other region may subject the use of personal data to different laws, statutes, or regulations compared to those in the United States. The Client’s continued usage of the Website and the transfer of data to the United States signify their explicit consent to the transfer and processing of data in the United States.
DesignLit does not knowingly collect or request information from individuals under the age of 18. In accordance with the Children’s Online Privacy Protection Act of the United States, if DesignLit becomes aware that an individual under the age of 13 has provided personally identifiable information to DesignLit without parental consent, DesignLit will promptly delete that information.
Returns and Refunds
DesignLit retains the authority to exercise its discretion in granting or denying refunds without any obligation to provide notice or assume liability towards the Client. Refund requests will be individually evaluated on a case-by-case basis. If the Client requests a refund within the initial month of service, all materials created by DesignLit remain the exclusive property of the company and are strictly prohibited from being utilized by the Client in any manner.
In the event that a refund is deemed appropriate, a 25% fee will be applied to the remaining billable period.
DesignLit reserves the right to initiate necessary legal actions against the Client in the event of a breach of this provision.
Modification
DesignLit retains the right, at its sole discretion, to change, alter, modify, amend, or remove any aspect or content on the Website for any reason. This includes the ability to modify or discontinue all or part of the Website without prior notice and without incurring any liability towards the Client.
Connection Interruptions
DesignLit does not provide any guarantee or warranty regarding the continuous availability and accessibility of the Website. Unforeseen issues related to hardware, software, or other factors beyond DesignLit’s control may lead to interruptions, delays, or errors. The Client acknowledges and agrees that DesignLit shall not be held liable for any losses, damages, or inconveniences caused by the Client’s inability to access or use the Website during any period of connection or service interruption.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the United Kingdom without regard to conflict of law principals.
Litigation
Any legal action, regardless of its nature, shall be filed in the Civil Court of the United Kingdom. The parties involved hereby agree to submit to the personal jurisdiction of these courts and waive any defences related to lack of personal jurisdiction or forum non convenience regarding venue and jurisdiction.
Disclaimer
The Website is provided on an “as-is” and “as-available” basis. The Client acknowledges that their use of the Website and Services is entirely at their own risk. DesignLit disclaims all warranties, whether express or implied, relating to the Website and the Client’s use thereof. This includes, but is not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
DesignLit makes no warranties or representations regarding the accuracy or completeness of the Website, its content, or the content of any linked websites. DesignLit assumes no liability for any errors, mistakes, or inaccuracies in the content and materials. DesignLit is not responsible for any personal injury, property damage, unauthorized access to or use of its secure servers, or any personal or financial information stored therein. Additionally, DesignLit does not guarantee uninterrupted transmission to or from the Website, nor does it guarantee the absence of bugs, viruses, Trojan horses, or similar harmful elements transmitted through the Website by third parties. DesignLit shall not be held liable for any errors or omissions in the content and materials or for any loss or damage incurred as a result of using any posted, transmitted, or available content through the Website.

DesignLit, along with its directors, employees, members, independent contractors, or agents, shall not be held liable to the Client or any third party for any direct, indirect, consequential, incidental, special, or punitive damages. This includes but is not limited to lost profits, lost revenue, lost data, attorneys’ fees, court costs, fines, forfeitures, or any other damages or losses arising from the Client’s use of the Website.
The Client agrees to defend, indemnify, and hold harmless DesignLit, its subsidiaries, affiliates, and all respective officers, members, agents, partners, employees, and independent contractors against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, brought forth by any third party. Such claims may arise due to or in connection with: (1) the use of the Website, (2) a breach of these Terms of Use, (3) any breach of the Client’s representations and warranties as set forth herein, or (4) the Client’s violation of the rights of any third party, including but not limited to intellectual property rights. However, DesignLit reserves the right, at the Client’s expense, to assume control and defense of any matter for which the Client is required to indemnify DesignLit. The Client agrees to cooperate with the defense of such claims.
User Data
The Client bears full responsibility for all data transmitted or related to any activity they engage in using the Website. DesignLit assumes no liability towards the Client for any loss or corruption of such data. The Client expressly waives any right to take legal action against DesignLit in connection with any such loss or corruption.
Electronic communications, transactions and signatures
The Client provides consent to receive electronic communications from DesignLit. The Client acknowledges and agrees that all agreements, notices, disclosures, and other communications sent via email or through the Website meet any legal requirement necessitating written communication. The Client further agrees to the use of electronic signatures, contracts, orders, and other records, as well as the electronic delivery of notices, policies, and transaction records initiated or completed by DesignLit or through the Website. By providing this consent, the Client waives any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction that mandate an original signature or the delivery or retention of non-electronic records. The Client also acknowledges that electronic means are sufficient for payments and the granting of credits, and waives any requirement for non-electronic methods.
Showcasing Design Work
DesignLit retains the right to publicly showcase design work on digital platforms, such as social media and the website, unless an alternative agreement has been reached. However, the Client also has the option to request a Non-Disclosure Agreement (NDA) between themselves and DesignLit. If such an NDA is established, it will supersede DesignLit’s right to publicly share or discuss the Client’s work.
Payments & Subscription & Cancellation Management
Clients are billed monthly for Designlit's services via the Stripe payment gateway. Invoices are automatically generated and accessible through the client's Stripe account. If a client wishes to cancel their subscription, they must provide a 30-day notice of termination. Access to Designlit's services will end on the next renewal date following the 30-day notice period. Clients must continue their subscription payments if their 30-day notice period overlaps with their renewal date. If the notice period extends beyond the renewal date, any paid days beyond the 30-day period will be refunded to the client. If the client ends their subscription with any days remaining in the 30-day notice period, they are still required to pay for those days. Although work will be put on hold during this time, the client remains responsible for covering the cost of the notice period.
To complete any ongoing projects, clients must maintain their subscription until the work is finalised. Please note that projects are handled one at a time. We aim to complete each project within 2-3 days, depending on its complexity and the amount of work involved. It is important to note that we cannot begin a new project until the current one has been approved by the client.
Miscellaneous
These Terms of Use, together with any policies posted on the Website or concerning the Website, constitute the complete agreement and understanding between the Client and DesignLit. The failure of DesignLit to enforce any right or provision in these Terms of Use does not imply a waiver of such right or provision. If any provision or portion of these Terms of Use is deemed unlawful, void, or unenforceable, that specific provision shall be severed from these Terms of Use while leaving the validity and enforceability of the remaining provisions unaffected.
Nothing within these Terms of Use, the Privacy Policy, or on the Website shall be interpreted as establishing a joint venture, partnership, employment, or agency relationship between the Client and DesignLit.
